1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and SilverCrest LLC, a company based in Chicago, Illinois, USA ("SilverCrest LLC", "we", "us"), which operates Fame Ducks ("the Service"). Fame Ducks is part of the Nova Ducks family of products.

By creating an account, joining the waitlist, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What the Service is

Fame Ducks is a software tool that helps you automate routine activity on Instagram, such as posting, messaging, connecting or following, commenting, and engagement, on a schedule you configure. Billing for all Nova Ducks products runs through Nova Ducks.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Your account

You are responsible for your account credentials and for all activity that happens under your account. Keep your password secure and notify us promptly of any unauthorized use.

5. Acceptable use

You agree to use the Service lawfully and responsibly. You are solely responsible for the accounts you connect and the content you publish through the Service. You will not use the Service to:

break any applicable law or regulation, or infringe anyone's rights;
send spam, harass, deceive, or distribute malware or unlawful content;
violate the terms, policies, or rate limits of Instagram or any other third-party service;
attempt to reverse engineer, resell, or provide the Service to third parties except as expressly permitted;
interfere with or disrupt the integrity or performance of the Service.

6. Third-party platforms and automation risk

Fame Ducks is an independent product. It is not affiliated with, endorsed by, sponsored by, or in any way officially connected to Instagram or its owner. "Instagram" and related marks are the property of their respective owners, used here only to describe interoperability.

Instagram and other platforms set their own terms of use, and automating activity on them may be restricted or prohibited by those terms. Using automation can, in some cases, lead to rate limiting, temporary restriction, suspension, or permanent loss of an account. You understand and accept these risks and use the Service at your own discretion and risk.

By connecting an account, you authorize Fame Ducks to access and act on that account on your behalf to perform the actions you configure. You are responsible for ensuring you have the right to automate any account you connect.

7. Subscriptions, billing, and refunds

Paid plans are billed through Nova Ducks on a recurring basis until cancelled. You authorize us and our payment processor to charge your payment method for the plan you select, plus applicable taxes. Fees are non-refundable except where required by law. You can cancel at any time, and cancellation takes effect at the end of the current billing period.

8. Intellectual property

The Service, including its software, design, and content we provide, is owned by SilverCrest LLC and protected by intellectual property laws. You retain ownership of the content you create and publish through the Service, and you grant us the limited rights needed to operate the Service for you.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, error free, or that it will produce any particular result, including account growth or reach.

10. Limitation of liability

To the fullest extent permitted by law, SilverCrest LLC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or the suspension or loss of any third-party account, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the claim.

11. Indemnification

You agree to indemnify and hold harmless SilverCrest LLC from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, the accounts you connect, or your violation of these Terms or of any third-party rights or platform terms.

12. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. You may stop using the Service and close your account at any time.

13. Changes

We may update these Terms or the Service from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the state and federal courts located in Chicago, Illinois, USA for any dispute that is not subject to arbitration or small-claims resolution.
